TERMS OF SERVICE (Tos)

Stanificent Global Technologies Ltd

Effective Date: 1st October, 2025

These Terms of Service (“Terms”) govern all products, services, software, studio works, hardware, installations, and related offerings provided by Stanificent Global Technologies Ltd, including its subsidiaries and brands such as Stanificent Studio and STANIBIZ.
By purchasing, approving, commissioning, paying for, or using any product or service, the client agrees to be bound by these Terms.

1. Controlling Agreements
   Certain products and services are governed by separate agreements, including the Studio Production Agreement and the Limited Manufacturer Warranty Agreement.
   Where applicable, such agreements are incorporated by reference and shall prevail over these Terms in respect of their subject matter.
2. Payments & Refunds
   All payments made to the Company are final and non-refundable.
   No refunds, reversals, or monetary compensation shall be issued except where expressly stated in a separate written agreement executed by the Company.
   Warranty remedies, where applicable, are limited strictly to repair or replacement as stated in the applicable Warranty Agreement and shall not include refunds.
3. Intellectual Property
   All intellectual property rights remain the exclusive property of Stanificent Global Technologies Ltd or its licensors. No ownership rights are transferred except as expressly stated in a separate agreement.
4. Limitation of Liability
   To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, or consequential losses arising from the use of its products or services.
5. Governing Law
   These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising shall be subject to the exclusive jurisdiction of the courts in Benin City, Edo State, Nigeria.
6. Version Control
   The version of the Terms, Warranty, or applicable Agreement in effect at the time of the transaction shall govern that transaction. Any subsequent amendment shall apply prospectively only and shall not affect completed or existing transactions.
7. Acceptance
   Proceeding with any transaction or service constitutes full acceptance of these Terms and all incorporated agreements.
